​FRANCHISE & INTELLECTUAL PROPERTY AGREEMENT

​BETWEEN: Warren A. Lyon (the "Franchisor" and Owner of the Intellectual Property)

AND: __________________________ (the "Franchisee")

​1. GRANT OF LICENSE

​The Franchisor, Warren A. Lyon, hereby grants the Franchisee a license to utilize the Pastor’s Fried Chicken™ trademarks, proprietary recipes, and operational branding (the "Intellectual Property") for the duration of this agreement.

​2. BANKING & AUTO-PAYMENT STRUCTURE

  • ​Joint Account Requirement: Upon execution, a Joint Bank Account shall be established between the Franchisor and the Franchisee specifically for the business operations of this franchise.
  • ​Interac e-Transfer® Auto-Payment: The Franchisee must configure a daily automated Interac e-Transfer from said Joint Account (or a designated business account) to the Franchisor for all digital components of the royalty fees.

​3. FINANCIAL OBLIGATIONS & DENOMINATIONS

​The Franchisee agrees to the following payment schedule:

  • ​A. Weekly Signing Fee: $350.00 USD per day  for fifty-seven (57) consecutive weeks.
  • ​B. Daily Operational fee: $250.00 USD per calendar day.
  • ​C. Cash Denomination Requirement: The daily $250.00 payment must be prepared and held in the following specific denominations:
    • ​Twelve (12) $20.00 banknotes ($240.00)
    • ​One (1) $10.00 banknote ($10.00)
  • ​D. Annual Escalation: All daily and weekly fees shall increase by two percent (2%) compounded annually on the anniversary of this agreement.

​4. FRANCHISOR COLLECTION RIGHTS (MANAGER FEE)

​The Franchisor, in his capacity as Manager and IP Owner, reserves the right to personally collect the daily cash payments at any franchise location.

  • ​Collection Surcharge: From the moment the Franchisor arrives at the location for the purpose of cash collection, an additional $20.00 USD per hour "Manager Fee" shall be incurred by the Franchisee.
  • ​Duration: This hourly fee applies continuously until the full daily payment (in the specified denominations) is successfully collected and verified.

​5. INTELLECTUAL PROPERTY & AUDIT

  • ​Compliance: Franchisee must strictly follow all Pastor’s Fried Chicken™ proprietary methods.
  • ​Verification: The Franchisor reserves the right to audit the Joint Account and on-site cash registers at any time to ensure the "12x20 + 1x10" rule is being maintained.

This arrangement concludes on the 9th year  and will give the franchisee full ownership of his location but he will have to continue to pay $19.50 per hour with a ten hour minimum throughout the remainder of the life time of this agreement with a 2% increase  every 12 months for administration and accounting services provided within the agreement in addition to head office customer service.   
In the event of Mr. Lyon's demise the Franchisee must pay the Baptist Union in Jamaica and the Crenshaw Christian Center (CCC) with a 50/50 share of the daily requisite payments. 

6. INDEMNITY 
The Franchisee as the independent owner and operator indemnifies the Franchisor from all claims. 

​7. TERMINATION

​Failure to facilitate the Interac e-Transfer, maintain the Joint Account, or provide the specified cash denominations to Warren A. Lyon upon arrival shall constitute a material breach, resulting in the immediate revocation of all IP rights.


This agreement and its terms  are relevant to any food franchise agreements for Red Hot(TM) Chicken, Super Hot(TM) or Frost Byte(TM).
