POINT OF SALE OPPORTUNITY AGREEMENT THIS AGREEMENT is made and entered into as of October 30, 2026, by and between: THE OPERATOR: Unionville Pub (hereinafter referred to as "Operator") THE SERVICE PROVIDER: Londinium Media WAL (hereinafter referred to as "Londinium Media WAL") RECITALS WHEREAS, Operator operates the commercial establishment known as the Unionville White Swan Pub, Swanky Jerk; WHEREAS, Londinium Media WAL provides electronic transaction, digital marketing, and point of sale (POS) media opportunity integration services pursuant to electronic instructions and transaction confirmations; WHEREAS, the parties recognise that modern commercial practice routinely relies upon binding electronic instructions and digital transaction records in lieu of traditional paper contracts; NOW, THEREFORE, the parties agree as follows: 1. SUBJECT MATTER & OPPORTUNITY FEE Scope: Londinium Media WAL is granted the right to maintain and service the Point of Sale ("POS") opportunity fee integration at the Unionville Pub pursuant to agreed electronic protocols and system specifications. Daily Opportunity Fee: In consideration of the POS opportunity access and integrated services, the applicable fee is established at $200.00 CAD to $400.00 CAD per day 365 days per year ( open or closed) (or as adjusted pursuant to electronic rate notices). Payment Method: Payment of the daily opportunity fee shall be remitted by Interac e-Transfer (email money transfer) or by the designated payment transfer method provided directly within the system. NOW, THEREFORE, the parties agree as follows:

2. REPORTING & DATA DELIVERABLES

  1. First Day Transaction Report: On the very first day of this Agreement, the Operator or system provider must transmit a .csv file containing all initial transactions via email only to Londinium Media WAL.
  2. Ongoing Reconciliation: Subsequent transaction reconciliations shall be maintained and transmitted via the regular electronic reporting channels established within the system.

3. ELECTRONIC GOVERNANCE & DIGITAL RECORDING

  1. Electronic Assent & Instructions: The parties expressly agree that this agreement and all operational directives, modifications, fee schedules, and transaction receipts executed or transmitted electronically (via email, POS terminal logs, or digital confirmation) constitute valid, legal, and binding obligations.
  2. Waiver of Paper Requirement: Consistent with contemporary commercial standards (such as electronic transit tickets and digital vouchers), failure to issue or maintain physical paper confirmations shall not invalidate any transaction, fee calculation, or legal relationship hereunder.
2. 1.  The operator since the date of inception  of this service in 2021 maintains all            criminal and civil liability which is indicative of the near total sums they collect from the operations and indemnifies the Service Provider for what transpires in daily operations. 

4. TERM & TERMINATION

  1. Term: This Agreement shall commence on the date of electronic activation and shall continue on a day-to-day or recurring operational basis.
  2. Termination: The Service Provider may modify or terminate this arrangement by transmitting written electronic notice in accordance with the standard digital communication channels established between the parties.

5. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

EXECUTED AND CONFIRMED VIA ELECTRONIC RECORD / INSTRUCTION TRANSMISSION.
